B2B Terms and Conditions

This page contains the rules and contract terms applicable to organisers, advertisers and sponsors who wish to partner with EventSeat. Prepared in accordance with German law (BGB, HGB, UWG, DSGVO) and industry practice.

Organisers

Registration and Application

Contracts are concluded only with entrepreneurs within the meaning of BGB § 14. By accepting these terms, the organiser confirms entrepreneur status. Registration is done via the online form. Data must be true and complete. EventSeat may accept or reject applications. Credit checks may be requested before acceptance.

Contract Formation

The contract is formed when EventSeat sends the confirmation email. After registration, organisers may test platform functions but cannot release events for sale until the contract is concluded. Events may only be entered for events organised by the organiser.

Platform Use

The organiser must maintain technical requirements (hardware, OS, internet, browser). Access credentials must be kept secure; unauthorised use must be reported immediately. EventSeat may temporarily block access.

Services Provided

EventSeat enables organisers to sell tickets for their events via the platform. Average platform availability is 96% per year. EventSeat reserves the right to modify and improve the platform.

Organiser Obligations

The organiser must provide required legal information and guarantee its correctness. The organiser warrants that event images and content are lawfully used. The organiser is responsible for all data entered and indemnifies EventSeat against third-party claims.

DDG § 5 Legal Information Requirements

Under Digitale-Dienste-Gesetz (DDG) § 5, organisers as providers of digital services must provide the following information:

  • Company or business name (Unternehmen)
  • Legal form (Rechtsform: GmbH, AG, sole proprietorship, etc.)
  • Address for service of process (ladungsfähige Anschrift)
  • Contact details (email, phone)
  • Trade register and registration number (Handelsregister, Registernummer)
  • VAT ID or WiIdNr. (USt-IdNr.)
  • Authorised representative (Vertretungsberechtigter)

This information is requested in the organiser application form and stored under the B2B contract.

Fees and Pricing

Ticket prices are set by the organiser. Platform and transaction fees are calculated per the applicable fee schedule. Fees are generally due even in case of event cancellation, unless EventSeat is solely responsible. A cancellation fee per ticket may apply.

Settlement and Payment

From collected proceeds, EventSeat first deducts its fees; the remainder is passed to the organiser. Past events are accounted within five business days after the event date. Payment is made to the organiser's bank account. SEPA direct debit mandate is required. Objections to statements must be made in writing within two weeks.

Event Cancellation and Disruptions

Cancellations, postponements or other disruptions must be reported to EventSeat immediately and ticket sales must be stopped. The organiser authorises EventSeat to process refunds. Refunds are made only to ticket buyers. Advance payments may need to be returned.

Liability

No contractual relationship exists between EventSeat and ticket buyers regarding the event. The organiser bears full responsibility for conducting the event and legal compliance. The organiser indemnifies EventSeat against third-party claims arising from disruptions or breaches.

Advertisers

Eligibility

Parties wishing to purchase advertising space must be entrepreneurs within the meaning of BGB § 14. A separate advertising contract is concluded. Content must comply with German law (UWG, TMG, DSGVO) and platform rules.

Content Rules

Advertising must not be misleading, offensive or illegal. The advertiser warrants ownership or licence of provided materials. The advertiser indemnifies EventSeat against third-party claims. EventSeat may remove content in case of infringement or for good cause.

Pricing, Payment and Duration

Advertising fees depend on placement type, duration and target audience. Payment must be made within the agreed period. EventSeat reserves the right to change prices. Contract duration and termination are set in the advertising agreement.

General Terms

The advertiser must comply with data protection (GDPR). Customer data may only be used for agreed purposes. The advertising partnership may be terminated by either party in writing. Confidentiality obligations survive contract termination.

Event Sponsors

Overview

Those wishing to sponsor events enter a separate sponsorship agreement with EventSeat or the organiser. Sponsorship may include brand visibility, venue use or other arrangements. Terms are determined on a project basis.

Brand Use

The sponsor warrants ownership or licence of provided logos and materials. EventSeat and the organiser may use the brand in event materials (posters, digital channels, tickets). Duration and scope are set in the sponsorship agreement.

Contract and Payment

Sponsorship fees and provided rights are set in the contract. The sponsor must fulfil contractual obligations. Refund or postponement terms in case of event cancellation are set in the sponsorship agreement.
